Service & Maintenance Agreement

This Agreement is a legal agreement between you (either an individual or a single entity) and Acrosonic Corporation ("Acrosonic"). This Agreement governs the Software, which includes computer software (including online and electronic documentation) and any associated media and printed materials. This Agreement applies to updates, supplements, add-on components, and lnternet-based services components of the Software that Acrosonic may provide or make available to you unless Acrosonic provides other terms with the update, supplement, add-on component, or Internet-based services component. Acrosonic reserves the right to discontinue any lnternet-based services provided to you or made available to you through the use of the Software. This Agreement also governs any product support services relating to the Software except as may be included in another agreement between you and Acrosonic. An amendment or addendum to this Agreement may accompany the Software.

Service Level Agreement
Acrosonic will make commercially reasonable efforts to ensure that the quality of the service provided is of at least prevailing industry standards, and that access to your Portal Site is available on a 24x7x365 basis. However, although Acrosonic will use all reasonable efforts in good faith to avoid interruption of the Service, the Subscribing Organization acknowledges and agrees that access to the Services, Portal Site and Site Information may be unavailable from time to time for any reason, including without limitation, interruption of major network connectivity, network and server outages, and backup and regular maintenance by Acrosonic and any operators of our servers.
FREE SUPPORT. Customer's subscribed to BizNet Software Support, Updates and Releases receive free online help and free email support.
Fee-based Support
Customers subscribed to Portal Maintenance & Support receive free unlimited online help, free email support and subscribed telephone support. Logged in 10 minute increments. Time in excess of subscribed support will be billed in 20 minute increments at the subscribed support rate. Telephone support is a per-incident fee for Customer's NOT subscribed to Portal Maintenance & Support will be billed in 20 minute increments for telephone support, minimum of 1 Hour per incident.

Updates & Releases
Customer's subscribed to BizNet Software Support, Updates and Releases are entitled to updates of the currently registered software. Access to all online support including Developer Articles, Samples, Community Forums. Product features and the release schedule of all Minor Upgrades and Major Upgrades are determined solely by Acrosonic. Distribution of upgrades may be via CDROM, Internet download or a combination of both as determined by Acrosonic.

BizNet Site Manager and Services
Customer may access the Services and the Portal Site only by means of the interface provided by Acrosonic. Although the Services and Site are generally accessible worldwide, access may not be available to all persons or in all locations. Acrosonic reserves the right to limit access to the Site or the Services by any Subscribing Organization, Member, or person, or from any location. The Services contain links and Web Services to and from other World Wide Web sites of Acrosonic's partners, affiliates, and providers of content or services to Acrosonic in delivering the Services or to its Subscribing Organizations as part of the Services (collectively, "Third Party Providers") and to other resources and sites (all such sites collectively, "Linked Sites"). Such links are provided for the convenience of the Subscribing Organization and its Members only, and are not reviewed, monitored or controlled by Acrosonic. Acrosonic does not endorse, is not responsible for and makes no representation or warranty concerning the reliability or availability of these Linked Sites or the accuracy, reliability, completeness or authenticity of their contents, advertising or products, and is not responsible for web casting or any transmission received from any Linked Site. Use of Linked Sites is subject to the privacy policies, terms of service and other conditions applicable to such Sites. All linking to Linked Sites is at the sole risk of the Subscribing Organization and its Members. Any concerns regarding any Linked Site or its content, products or services should be directed to the administrator or webmaster of such Linked Site.

All materials published by Acrosonic and its Third Party Providers, including but not limited to text, graphics, names, logos, service marks and trademarks, and information contained on any Linked Sites (collectively, the "Content") are the property of or controlled by Acrosonic or the party credited as the provider of the Content

The Subscribing Organization and its Members will respect all proprietary rights of Acrosonic and its Third Party Providers in and to the Content, Site Name, Services, and Site, any products or other services obtained there from.
